O'Douds Affiliate Marketing Terms of Service
Thank you for joining our affiliate marketing program. By participating in this program, you agree to comply with the following terms and conditions. Please read this guide carefully before proceeding. If you have any questions or concerns, please contact us for clarification.
Eligibility:
- To become an affiliate, you must be at least 18 years old or the legal age in your jurisdiction. By joining the program, you represent and warrant that you have the authority to enter into this agreement.
- Affiliates must have placed an order with O'Douds within the last 2 years to be eligible for the program.
Partnership:
- Upon acceptance into the affiliate program, you will be provided with unique referral links or codes. You will be responsible for promoting our products or services through various marketing channels, such as your website, social media, email campaigns, or other approved methods.
Compliance:
- As an affiliate, you agree to comply with all applicable laws, regulations, and guidelines regarding advertising, marketing, and data protection. You will not engage in any deceptive, misleading, or unethical practices to promote our products or services.
- You agree to maintain ethical conduct and respect for our brand, ensuring all marketing materials and promotions align with O'Douds' values.
Fraud Prevention:
- We reserve the right to withhold payouts and deactivate affiliate status without notice if fraudulent activity is suspected. This includes, but is not limited to, using automated systems to generate clicks or purchases, misrepresenting our products or brand, or engaging in misleading marketing practices.
Termination:
- Either party may terminate this partnership at any time for any reason, with or without cause, by providing written notice to the other party. However, if the termination is due to a violation of these terms, the terminating party may do so without prior notice.
- We also reserve the right to terminate the partnership immediately in the case of fraudulent activity or other violations of these terms, with no obligation to pay any remaining commissions.
Lack of Activity:
- If there is a lack of activity from your side for a continuous period of 60 days, including no posting, communication, sale, or referral, we reserve the right to terminate the partnership without notice. It is important to maintain an active presence and regularly promote our products or services in exchange for discounted products and the opportunity to earn commission.
Commission and Payment:
- You will be eligible to receive a commission for each qualifying referral or sale made through your unique referral links or codes. The commission structure and payment terms will be outlined separately in our affiliate agreement or program documentation.
Confidentiality:
- During the course of this partnership, you may have access to confidential information about our business operations, strategies, or customers. You agree to maintain the confidentiality of such information and not disclose it to any third party without our prior written consent.
Promotional Activities:
- As an affiliate, you agree to actively promote O'Douds' products to your clients or customers using ethical and legal marketing methods.
- You may use O'Douds' approved marketing materials, including images, logos, and product descriptions, for promotional purposes.
- You may not engage in any false, misleading, or deceptive marketing practices or make unauthorized claims about the Company's products.
- You are responsible for ensuring that any promotional activities comply with applicable laws, regulations, and industry standards.
- Affiliates must have a minimum of 1 referral sale per backbar restocking period to maintain eligibility in the program.
Independent Contractor Relationship:
- The affiliate's participation in the program does not create an employer-employee relationship, partnership, or joint venture between the affiliate and the company.
- The affiliate is an independent contractor and will be solely responsible for their own business expenses, including taxes and insurance.
Intellectual Property:
- O'Douds retains all rights, title, and interest in its trademarks, logos, product names, and other intellectual property.
- The affiliate may use O'Douds' intellectual property solely for the purpose of promoting the Company's products as authorized in this agreement.
- The affiliate may not modify, reproduce, or distribute O'Douds' intellectual property without prior written consent.
By proceeding with the affiliate program, you acknowledge that you have read, understood, and agreed to these terms of service. Failure to comply with these terms may result in the termination of the partnership and forfeiture of any outstanding commissions or benefits.
